Retention Trusts for Head Contracts
From 1 January 2022, Retention Trusts also apply to head contracts, not just first-tier subcontracts. However, Retention Trusts do not apply if the principal is:
- the State;
- a State Authority;
- the Commonwealth;
- a local government;
- another entity prescribed by regulation (there is nothing in regulation at this time); or
- if the subcontract price is less than the minimum contract price (which is not yet set by regulation).
This means that if the principal is withholding cash retention from head contractors for Project Trust Contracts, the principal must hold that retention in a Retention Trust Account. The principal is the trustee of the head contract Retention Trust and the beneficiaries are the principal and all head contractors who are contracted to the principal on all projects that are Project Trust projects.
